D. As a C.O.R.E. AMBASSADOR you should make every effort to attend the C.O.R.E. AMBASSADOR summit.
- You must make your own way to the summit.
- Once the summit begins and for the duration of the event, we will cover the costs of accommodation, food, activities, and transportation.
E. The C.O.R.E AMBASSADOR must make an effort to be available to collaborate with any other Rocky Mountain professional athletes located in their region to incorporate them where appropriate.
F. The C.O.R.E. AMBASSADOR must be available to assist with events:
- Make yourself available to Rocky Mountain for a maximum of 6 calendar days for marketing purposes. These purposes will include participation in events or providing assistance to Rocky Mountain in connection with events, sales meetings, consumer shows, competitions, demos, rep clinics, photo shoots, filming, and other presentations, and the ambassador summit.
- This time commitment would not include the ambassador summit.
G. As a Rocky Mountain C.O.R.E. AMBASSADOR you must be professional and courteous to fellow athletes while attending events and any outdoor activities.
H. The C.O.R.E. AMBASSADOR must use, display and endorse exclusively the Rocky Mountain bicycles where relevant (ie. Mountain bikes) and make an effort to wear provided Rocky Mountain clothing and riding gear whenever possible.
I. The C.O.R.E. AMBASSADOR must provide an updated athlete bio, with photos for use on the bikes.com Website. These photos must include a portrait photo, a vertical action photo and a horizontal action photo for RM to use on web and PR. If the C.O.R.E. ambassador is involved in racing, coaching, or organized volunteering we would appreciate a rough schedule to follow and stay updated on.
J. THE C.O.R.E. AMBASSADOR shall make no adverse public statements or comments concerning the equipment made available to you by RM that could be detrimental to its reputation.
K. THE C.O.R.E. AMBASSADOR will make sure his/her name and person does not appear in an advertising context in the presence of any competitors of RM.
L. THE C.O.R.E. AMBASSADOR will not cover-up, or alter the logos/marks/signs/designs of the RM bicycles in any way. Any additional logos may not be placed on RM bicycles without prior written consent of the RM Sports Marketing Coordinator.
4. Insurance
The C.O.R.E. AMBASSADOR assumes the liability to be correctly insured for the performance of your activities under this agreement especially for civil liability, repatriation and accident.
5. Compensation
No financial compensation will be offered to the C.O.R.E AMBASSADOR during the term of this agreement.
6. Renewal and first refusal right
The parties agree to discuss, at least four (4) months prior to the expiration of this agreement, the potential renewal of this agreement.
However, in such event, Rocky Mountain shall have a first refusal right with respect to any offer of agreement relating to any of the matters covered by this agreement. This right of first refusal shall continue to the benefit of Rocky Mountain during one month after the expiration or termination of this agreement.
7. Termination
RM may, at any time, immediately terminate, without notice the engagement of the C.O.R.E. AMBASSADOR in case of the following:
A. The C.O.R.E. AMBASSADOR has not faithfully participated in his/her role to the degree expected.
B. The C.O.R.E. AMBASSADOR has not represented RM or its products in a positive and professional manner; or
C. The C.O.R.E. AMBASSADOR has made a false declaration or warranty in any way relating to RM or its products.
8. Confidentiality
The parties agree that the terms and conditions of this agreement are strictly confidential and cannot be disclosed to a third party. Confidential information including; pricing, products, future product, marketing strategy are valuable and unique assets of RM. You will not during the term of this agreement and thereafter disclose such confidential information.
This Agreement and its provisions are to be interpreted under the laws of the province of Quebec, Canada.
